Usage Rights Agreement

Terms and Conditions for Use of Client's Assets for Promotional and Marketing Purposes by Printgenic (aka Packshot Studio)

Terms and Conditions for Printgenic (also known as Packshot Studio) in accordance with
Indian Company Act 2013:

  1. Printgenic (also known as Packshot Studio), a registered company in India (hereinafter referred to as "the Company"), shall provide services to the client as specified in the agreement between the parties.

  2. The Company reserves the right to use any work done for the client, including but not limited to designs, graphics, logos, and other assets, for promotional and marketing purposes both online and offline.

  3. If the client does not want the Company to use their assets for promotional and marketing purposes, the client must inform the Company in writing in advance through the signed agreement. If the client fails to inform the Company, it shall be deemed that the Company has the right to use the client's assets.

  4. The client acknowledges that the Company has the right to showcase the work done for the client in their portfolio, website, and other marketing materials.

  5. The client agrees that the Company has the right to use the client's name and logo on the Company's website, marketing materials, and social media accounts to showcase their work done for the client.

  6. The client agrees that the Company shall not be liable for any damages or losses arising out of the use of the client's assets for promotional and marketing purposes.

  7. The client agrees to indemnify and hold harmless the Company from any and all claims, liabilities, damages, expenses, and costs, including reasonable attorneys' fees, arising out of the use of the client's assets for promotional and marketing purposes.

  8. This agreement shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to this agreement shall be resolved in accordance with the arbitration rules of the Indian Arbitration and Conciliation Act, 1996.

  9. This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, and understandings, whether written or oral, relating to the subject matter of this agreement.

  10. This agreement may not be amended or modified except in writing signed by both parties.
